1. Scope, contracting party and acceptance

1.1. Contracting party: These Terms and Conditions govern the purchase of services marketed under the Suralis · Active Travel brand by [LEGAL NAME OF THE S.A.S.], Tax ID (CUIT) [●], with legal domicile in the Autonomous City of Buenos Aires, Republic of Argentina (hereinafter, “Suralis”).

1.2. Client and Participant: “Client” means the person who requests, books or purchases the services. When a booking includes third parties, the Client declares that they have sufficient authorization to provide the necessary data and undertakes to make these Terms available to all participants. Each participant is subject to the conduct and safety obligations applicable to the trip.

1.3. Covered services: These Terms apply to group trips, private journeys, tailor-made itineraries, extensions and other land services offered by Suralis, unless a proposal, dossier or specific condition establishes rules for a particular trip.

1.4. Contract documents: The contractual relationship consists of: (a) the accepted proposal or quotation; (b) the itinerary and included services; (c) these Terms and Conditions; (d) any specific conditions communicated before contracting; and (e) the Official Booking Confirmation issued by Suralis.

1.5. Formation of the booking: Unless mandatory law provides otherwise, a booking is confirmed when all of the following have occurred: (a) Suralis receives the required booking information or form and the express acceptance of these Terms; (b) the applicable deposit or payment has been effectively credited; and (c) Suralis issues the Official Booking Confirmation and the corresponding commercial documentation in writing. A mere enquiry, quotation or provisional hold of space does not constitute a final booking.

1.6. Electronic acceptance: Acceptance may be recorded electronically, including through a checkbox, form, email or equivalent mechanism that allows evidence of consent to be retained. Payment does not replace disclosure obligations or any non-waivable rights to which the Client may be entitled.

02

2. Booking, prices and payments

2.1. Prices: Prices will be stated in United States dollars (USD), unless the proposal specifies another currency. The applicable price and scope will be those stated in writing in the accepted proposal and in the Official Booking Confirmation.

2.2. Deposit: As a general rule, a deposit equal to 30% of the total price is required to secure a booking for land services. A particular trip may require a different amount or percentage when logistics, suppliers or contracting conditions make this necessary, provided that this is disclosed before payment.

2.3. Balance: The remaining balance must be paid between 90 and 120 days before the departure date, depending on the technical and contractual characteristics of the trip. The exact date will be stated in the Official Booking Confirmation.

2.4. Last-minute bookings: Bookings made within 90 days before departure may require payment of 100% at the time of confirmation.

2.5. Payment methods and intermediary charges: Suralis may accept ACH/ABA transfers, Wise and PayPal, subject to availability. Valid payment instructions are only those communicated through Suralis’ official channels. Fees charged directly to the Client by banks, platforms or intermediaries are the Client’s responsibility. The net amount credited must match the amount stated by Suralis unless a difference is expressly accepted. Any surcharge applied by Suralis will be disclosed in advance and charged only where legally and contractually permitted.

2.6. Receipt of payment: Payment is considered received when the funds have been effectively credited or the payment provider confirms the transaction. Suralis may request proof of transfer to facilitate identification of the payment.

2.7. Price changes: Once the Official Booking Confirmation has been issued, Suralis will not unilaterally change the price except where permitted by applicable law, for changes requested by the Client, new official taxes or fees, or service modifications that are disclosed and accepted where required. Material changes will be subject to the rights granted to consumers under applicable law.

2.8. Overdue balance and cure period: If the final balance is not credited by the stated due date, Suralis may send a courtesy notice and grant an additional period of up to forty-eight (48) hours to cure the default. If that period expires without payment being credited, Suralis may treat the booking as cancelled by the Client and apply the corresponding cancellation policy, unless applicable law provides otherwise.

03

3. Right of withdrawal for distance contracts

3.1. Non-waivable nature: The commercial policy on deposits and cancellations does not limit any right of withdrawal that is legally applicable. Any provision that is incompatible with a non-waivable right will be deemed unwritten to the relevant extent.

3.2. Method of exercise and “Withdrawal Button”: The Client may communicate withdrawal electronically or by any other means permitted by law. When Suralis sells services at a distance through a website or similar format, it will keep visible and operational the mechanism known as the “Withdrawal Button” (“Botón de Arrepentimiento”) or any legally required replacement. Reasonable identity-verification measures may be applied solely for security purposes where current regulations permit.

3.3. Tourism services with a specified date: For tourism contracts with a specified date, the Argentine regulations in force at the time of this version provide special arrangements for exercising the right of withdrawal. Where applicable, notice must be given within the legal period and with the minimum advance notice required before the start of the service. Suralis will inform the Client of the applicable rule during the contracting process and through the withdrawal channels.

3.4. Effects: Where the right of withdrawal is validly exercised, Suralis will proceed in accordance with the effects and time limits established by applicable law, including restitution of performances where applicable.

04

4. Changes and cancellations requested by the Client

4.1. Change requests: Any modification must be requested in writing. Suralis will seek to accommodate changes to dates, itinerary, services, category, participants or other elements, subject to availability and the conditions of the providers involved.

4.2. Modification costs: Where a change is possible, the Client must bear the costs actually generated by third-party providers and, where applicable, a Suralis administrative fee disclosed in advance before the modification is carried out.

4.3. Cancellation: Cancellation must be notified in writing. The date on which the notice is received will determine the applicable scale, without prejudice to any right of withdrawal or other non-waivable rights that may apply.

Time before departureStandard charge / retention
More than 90 daysLoss of the initial deposit (30% as a general rule).
89 to 60 days50% of the total trip price.
59 to 31 days75% of the total trip price.
30 days or less / No Show100% of the total trip price.

4.4. Specific conditions: Certain services — for example special accommodation, permits, cruises, flights or other components with their own terms — may be subject to different penalties. Any more restrictive condition must be disclosed to the Client before contracting.

4.5. Unused services: The Client’s voluntary decision not to use a service already purchased during the trip does not automatically create a right to a refund, unless applicable law provides otherwise.

4.6. Assignment or transfer of a booking: Substitution of a participant or transfer of a booking to a third party must be requested in writing and is subject to operational feasibility, fitness requirements, availability, provider conditions, permits and the named nature of certain services. Where possible, the Client must bear costs actually generated by third parties and any administrative fee that Suralis has disclosed in advance before carrying out the change.

05

5. Changes, cancellations and operation by Suralis

5.1. Operational necessity: Due to the nature of active travel, Suralis may make reasonable adjustments to routes, schedules, sequence of activities, means of transport or accommodation where necessary for safety, weather, closures, terrain conditions, decisions by authorities or operational contingencies.

5.2. Comparable alternative: Where reasonably possible, Suralis will seek to offer an alternative of comparable characteristics and value. Any material modification will be subject to the rights granted to the Client under applicable law.

5.3. Cancellation of a departure: A departure may be subject to objective operational viability conditions, including a sufficient number of participants where necessary for execution, even if there is no single published minimum for all trips. Suralis or the responsible operator may exceptionally cancel due to insufficient participants, operational impossibility, safety or another objective and justified cause, always within the limits of applicable law. The decision will be communicated as soon as reasonably possible and, where feasible, with an estimated four to six weeks’ notice.

5.4. Options following cancellation by Suralis: Depending on the circumstances, Suralis may offer: (a) transfer to another date or trip; (b) a private alternative with an adjusted price; (c) an equivalent service; or (d) refund of amounts paid to Suralis for the cancelled service where applicable. External costs contracted directly by the Client are governed by their own contracts and applicable law.

5.5. Recommendation regarding flights: For this reason, Suralis recommends that Clients do not purchase non-refundable international services until they have received the Official Booking Confirmation and verified the status of the departure.

06

6. Documentation, health, physical fitness and age

6.1. Passports, visas and entry requirements: The Client is responsible for verifying that they have the required passport, visas, permits, authorizations for minors, health requirements and any other required documentation. Suralis will provide general guidance where appropriate, but official requirements may change and must be verified with the competent authorities.

6.2. Minimum age: The minimum age to contract independently is 18. Minors may participate only where the product and applicable law permit and under the responsibility of their parent or legal guardian.

6.3. Physical fitness and activity level: The Client must assess in good faith whether their physical condition, experience and preparation are compatible with the activity level stated for the trip (Levels 1 to 4, or any scale communicated by Suralis for the product). Suralis may ask profile and activity questions before confirming a booking in order to reduce risk and avoid incorrect expectations.

6.4. Health information and separate declaration: Health information is sensitive personal data. As a general rule, Suralis will not request complete medical histories. Where reasonably necessary to assess fitness or activity safety, Suralis may request a separate Health & Fitness Declaration limited to relevant history, recent surgery, allergies, medication, restrictions or limitations, or may require a fitness certificate issued by a professional, always subject to the corresponding legal basis, prior information, consent and privacy safeguards.

6.5. Medical certificate or additional assessment: Suralis may request a medical certificate or fitness confirmation where justified by the characteristics of the itinerary, a rule, a provider or an objective safety circumstance. The need and scope of that requirement will be disclosed to the participant. If fitness for a risky activity cannot reasonably be assessed without such confirmation, Suralis may make participation in that component conditional upon its submission, subject to applicable law.

6.6. Incomplete or inaccurate declaration: Failure to disclose relevant information that has been legitimately requested may prevent proper risk assessment. If a situation arises during the trip that compromises the safety of the participant or the group, the provisions concerning the authority of the Lead Guide will apply.

07

7. Travel insurance

7.1. General recommendation: Unless a law, itinerary, park, provider or specific condition makes it mandatory, travel insurance is not established here as a general administrative condition for completing a purchase. Nevertheless, Suralis strongly recommends obtaining comprehensive coverage appropriate to the trip.

7.2. Recommended coverage: Depending on the trip, the policy should cover medical assistance, accidents, trip cancellation or interruption, repatriation and, especially for active travel, search, rescue and evacuation in remote or mountain areas, as well as express coverage for trekking, hiking, adventure activities and the maximum altitude contemplated in the itinerary.

7.3. Policy review: Suralis may request a copy, certificate or policy details in order to verify that the stated coverage is reasonably compatible with the trip. This review is operational only and does not constitute insurance advice or a guarantee of coverage by Suralis.

7.4. Mandatory insurance in specific cases: If an authority, park, provider, activity or trip requires specific coverage, purchasing that coverage will be a condition for participating in that component and will be disclosed to the Client as soon as possible.

08

8. Air services

8.1. Not included as a general rule: Suralis does not include the issuance or sale of flights within its standard service unless a proposal expressly states otherwise.

8.2. Exceptional handling: If Suralis arranges or intermediates an air booking at the Client’s request, the airline’s and issuing channel’s specific conditions will apply in addition to any mandatory rules.

8.3. Payment and ticketing: Air tickets must be paid in full before issuance. An airfare quotation does not guarantee the price until the ticket has actually been issued, unless expressly confirmed otherwise.

8.4. Airline changes: Schedules, routes, aircraft, baggage and other operational conditions may be changed by the carrier. Suralis will seek to assist the Client within the scope of the contracted service, without assuming liabilities that legally belong exclusively to the carrier or excluding any liability that may properly belong to Suralis.

8.5. Fare conditions: Changes, cancellations, refunds and ticket penalties will be governed by the purchased fare and the airline’s rules, without prejudice to any mandatory passenger rights.

8.6. Connection with land services: Where flights are booked directly by the Client, reasonable connection margins are recommended, and non-refundable tickets should not be issued until the Official Booking Confirmation has been received. The consequences of delays, cancellations or schedule changes will be determined by the transport contract, the scope of Suralis’ involvement and applicable law.

09

9. Third-party providers and liability

9.1. Provider network: Depending on the itinerary, Suralis may organize, contract, coordinate or intermediate services provided by hotels, transport companies, guides, local operators, camps, navigation companies, airlines and other independent third parties.

9.2. Actual role: Suralis’ liability will be determined according to the role actually assumed in each service, the obligations undertaken and applicable law. The participation of third parties does not mean that Suralis controls all of their operational decisions.

9.3. Non-waivable rights: Nothing in these Terms limits liability for damages where the law imposes liability on Suralis, nor does it restrict any non-waivable consumer rights. These clauses will be interpreted in accordance with applicable law and the actual scope of the contracted service.

9.4. Events beyond Suralis’ control: Where a contingency is caused exclusively by a third party, an authority or an external circumstance, its consequences will be assessed in accordance with applicable law, the contracts involved and any assistance obligations applicable to Suralis.

10

10. Inherent risks and authority of the Lead Guide

10.1. Nature of the activities: The Client acknowledges that trekking, mountain activities, camping, navigation and other activities in natural and remote environments involve risks that cannot be completely eliminated, even when professional safety protocols are applied.

10.2. Possible risks: These may include, among others, changing weather, uneven terrain, falls, rockfall or debris, exposure to cold or heat, watercourses, wildlife, altitude, fatigue, accidents, delayed access to medical facilities and absent or intermittent communications.

10.3. Safety instructions: Participants must follow reasonable instructions given by guides, comply with the rules of parks and protected areas, and use required equipment. Conduct that places the participant, the group or staff at risk may justify immediate operational measures.

10.4. Authority of the Lead Guide: For objective safety reasons, the Lead Guide will have final operational authority regarding the continuation, modification or suspension of an activity and may prevent a participant from undertaking a particular section where the guide reasonably considers that the participant’s physical condition, preparation, conduct, equipment or failure to follow instructions creates a relevant risk.

10.5. Services not performed for reasons attributable to the participant: Where an activity is omitted because of a safety decision based on circumstances attributable to the participant — including dangerous conduct, lack of preparation, failure to follow instructions or omission of relevant information — this does not automatically create a right to a refund, without prejudice to rights provided by applicable law.

10.6. Emergencies and evacuations: In an emergency, Suralis, the Lead Guide and providers may take reasonable assistance, evacuation or reorganization measures to protect the participant or the group. Where an evacuation or extraordinary expense results from circumstances attributable to the participant — including an undisclosed condition where disclosure had been legitimately required, failure to follow instructions or dangerous conduct — the costs may be borne by the Client or their insurer, as appropriate. In other cases, the allocation of costs will be determined according to the applicable responsibilities, insurance, contracts and law.

11

11. Force majeure, weather and itinerary changes

11.1. Extraordinary events: Events may arise outside the reasonable control of the parties, such as natural phenomena, severe weather, road or park closures, fires, conflicts, strikes, epidemics, government measures, transport disruptions or other circumstances that make performance impossible, unsafe or materially different.

11.2. Safety priority: Safety takes precedence over literal adherence to the itinerary. Suralis may modify the route or logistics where reasonably necessary to protect participants or comply with decisions by authorities and responsible providers.

11.3. Contractual consequences: The financial effects of force majeure or impossibility will be determined according to applicable law, services actually provided, recoveries available from providers and the specific conditions of the trip. No general waiver is established of any rights granted to the Client by law.

11.4. Rescheduling, credits and recoveries: Where force majeure makes the trip impossible or materially affects it, Suralis may propose, depending on the circumstances, rescheduling, a change of date, an alternative trip, a credit or voucher for a future departure, or refund of amounts where applicable. The solution will take into account services actually provided, amounts recoverable from providers and the Client’s mandatory rights. A credit or voucher will not replace a legally required refund without the Client’s consent where such consent is required.

12

12. Personal data protection

12.1. Necessary data: Suralis may process personal data necessary to respond to enquiries, manage bookings, contract services, comply with legal obligations, assist the passenger and operate the trip.

12.2. Health data: Health information is sensitive data and will receive enhanced, confidential and restricted-access treatment. Where legally permissible and necessary for safety reasons, its collection will be carried out separately, limited to the stated purpose and avoiding excessive information. Applicable legal bases, consent, security measures, retention criteria and rules for disclosure to third parties will be observed.

12.3. Operational disclosure: Suralis may disclose strictly necessary data to providers involved in the trip — for example hotels, operators, transport companies or guides — where required to provide the service and in accordance with the Privacy Policy and applicable law.

12.4. International transfers: Because trips may involve different countries and providers, certain disclosures of data may involve international transfers. Suralis must implement them in accordance with applicable law and inform the data subject where required.

12.5. Data subject rights: The data subject may exercise rights of access, rectification, updating, deletion or other rights recognized by applicable law through the channels stated in the Privacy Policy.

13

13. Photography and audiovisual material

13.1. Capture during the trip: Photographs or videos may be taken during a departure for operational, documentary or souvenir purposes. Where an identifiable person appears, any promotional use will be subject to the consent required by law.

13.2. Separate consent: Authorization for Suralis to use a participant’s image or voice for marketing, social media, website or commercial material will be requested separately and will be optional. Refusal of that authorization will not affect the booking or participation in the trip.

13.3. Withdrawal and scope: The specific authorization must state its scope and provide for any rights of withdrawal or revocation applicable under the relevant law and to the content actually published.

14

14. Communications, electronic acceptance and documentation

14.1. Official channels: Contractual communications may be made by email, web form or other written channels identified by Suralis. The Client must keep their contact details up to date and review communications relating to their booking.

14.2. Confirmation: Once the applicable payment has been credited and the relevant requirements have been met, Suralis will send an Official Booking Confirmation, which may include an invoice, consolidated itinerary, specific conditions and equipment guide.

14.3. Pre-trip documentation: Approximately two to three weeks before departure, subject to the characteristics of the product, Suralis will seek to send final operational documentation, including contacts, meeting points, vouchers, transfers and other relevant information.

14.4. Language: Suralis may provide these Terms and other documents in Spanish, English or other languages. The applicable version and any rule of precedence will be disclosed at the time of contracting, and no translation may be used to reduce mandatory consumer rights.

15

15. Complaints and consumer rights

15.1. Customer service channel: The Client may submit enquiries or complaints through suralistravel@gmail.com, the contact form, or any other official channels published on the website.

15.2. Good faith and resolution: Suralis will seek to assess each complaint in good faith, request the necessary information and provide a response within a reasonable period according to the complexity of the matter. Where appropriate, the parties will seek to resolve the disagreement through direct negotiation, mediation or available consumer conciliation mechanisms, without restricting the Client’s access to any administrative or judicial remedies legally available.

15.3. Legal rights: These Terms do not replace or restrict administrative or judicial consumer-protection mechanisms granted by applicable law.

16

16. Applicable law and jurisdiction

16.1. Legal domicile: Suralis will have its legal domicile in the Autonomous City of Buenos Aires, Republic of Argentina, at the address stated in its final corporate and contractual documentation.

16.2. Mandatory rules: Applicable law and jurisdiction will be determined in accordance with Argentine private international law, consumer-protection rules and any other mandatory provisions that apply. In consumer relationships, a choice of forum will not be considered valid where the law deems it unwritten or prohibits it.

16.3. International consumers: Where the Client is domiciled in another country or the contracting process has been directed to that market, specific rules on jurisdiction, applicable law and consumer protection may apply. Nothing in this document is intended to exclude them.

17

17. Severability and interpretation

17.1. Severability: If any provision or part of these Terms is declared void, invalid, unfair or unenforceable by a competent authority, that circumstance will not affect the validity of the remaining provisions, which will continue in force to the extent permitted by law.

17.2. Interpretation in accordance with mandatory rules: These Terms must be interpreted consistently with applicable law and the non-waivable rights of consumers. Headings and numbering are included for ease of reading and do not alter the scope of the obligations undertaken.

18

18. Website terms of use

18.1. Purpose: The Suralis website is provided to inform users about trips, receive enquiries, facilitate bookings and publish content related to the brand’s activities.

18.2. Intellectual property: Unless otherwise stated, texts, designs, original photographs, original itineraries, logos, trademarks and other protectable content belong to Suralis or are used with authorization. Commercial reproduction, automated extraction or reuse without permission is not authorized.

18.3. Permitted use: The user undertakes not to interfere with the security or operation of the website, introduce malicious code, access restricted areas without authorization or use automated mechanisms that degrade the infrastructure.

18.4. Third-party information: The website may include links to or information from third parties. Their inclusion does not imply permanent control over that content. Suralis will seek to keep its own information up to date, although certain external rates, schedules, requirements and conditions may change without notice.

18.5. Contract model availability: Where consumer-protection regulations require it, Suralis will keep an updated copy of the standard-form contract or these Terms and Conditions available on its website before contracting.
